These Terms of Service ("Terms") govern your access to and use of the ReserveFunds platform, including the websites, mobile apps, APIs, and related services (collectively, the "Service"). By creating an account you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into binding contracts. You may not use the Service if you are subject to applicable sanctions or located in an unsupported jurisdiction.
2. Account & Security
You are responsible for safeguarding your credentials and enabling multi-factor authentication. We may suspend accounts that show signs of compromise or unauthorized activity.
3. Investment Pools
- Each pool has a prospectus that defines its strategy, fees, lockup, and risks.
- Contributions are non-transferable except as permitted by the pool prospectus.
- Distributions are pro-rata and net of fees disclosed up-front.
4. Fees
Management fees are disclosed before contribution and accrue daily. We may change fee schedules for new pools; existing members' pools are honored as agreed at the time of joining.
5. Risk
Investing involves risk, including loss of principal. ReserveFunds does not guarantee returns. See our Risk Disclosure for details.
6. Prohibited Use
- Market manipulation, money laundering, or financing of illicit activity.
- Attempting to reverse engineer or interfere with the Service.
- Using the Service to make securities recommendations to third parties.
7. Termination
We may suspend or terminate accounts that violate these Terms. You may close your account at any time after settling any outstanding pool obligations.
8. Disclaimers
The Service is provided "as is" without warranty. To the maximum extent permitted by law, ReserveFunds disclaims implied warranties of merchantability, fitness for purpose, and non-infringement.
9. Limitation of Liability
To the extent permitted by law, ReserveFunds' aggregate liability shall not exceed the fees you paid in the 12 months preceding the claim.
10. Governing Law
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration in San Francisco, California.
